1. Introduction

These Terms and Conditions (“Terms”) govern access to and use of the Waybill Manager platform (“Platform”), a logistics management software system owned and operated by O’Daniels Industries Limited (“Company”, “we”, “us”, “our”).

By registering, accessing, or using the Platform, you (“Client”, “Company User”, or “User”) agree to be bound by these Terms.

If you do not agree, you must not use the Platform.

2. Nature of Service

Waybill Manager is a software platform designed to help logistics and transport companies manage:

Waybills
Trips and vehicle movement
Parcel and warehouse operations
Staff access and operational workflows
Notifications and operational records

Important:
O’Daniels Industries Limited is not a logistics, courier, or transport company. We do not carry goods, handle parcels, or provide delivery services. All transport activities are solely the responsibility of the licensed logistics company using the Platform.

3. Eligibility

To use the Platform, you must:

Be a legally registered business or authorised representative
Provide accurate registration details
Ensure your staff use the system only for legitimate business operations

We reserve the right to suspend accounts that provide false information.

4. Account Responsibility

The Client is responsible for:

Maintaining confidentiality of login credentials
Controlling staff access and role permissions
All activities performed under its account

The Company is not liable for losses arising from unauthorised access caused by poor credential management.

5. Platform Usage Rules

Users agree NOT to:

Use the Platform for illegal activities
Store unlawful, harmful, or fraudulent shipment information
Attempt to hack, disrupt, or reverse-engineer the system
Upload malware or malicious content

Violation may result in immediate suspension.

6. Fees and Billing

Use of Waybill Manager may involve:

Monthly platform subscription fees
Usage-based operational charges
Optional feature fees (e.g., photo storage, notifications)

All fees:

Are set within the Platform configuration
May be deducted from the Client wallet or invoiced
Are non-refundable once services are rendered

Failure to pay required fees may result in service restriction.

7. Data Ownership

Clients own the operational data they input (waybills, trips, customer records).
O’Daniels Industries Limited owns the software, infrastructure, and system architecture.

We may store and process Client data for service delivery, security, backups, and legal compliance.

8. Data Security

We implement reasonable technical and organisational measures to protect data. However, no digital system is 100% secure.

Clients are responsible for:

Protecting staff access credentials
Using secure devices and networks

9. Service Availability

We aim for high system uptime but do not guarantee uninterrupted service.

The Platform may be unavailable due to:

Maintenance
Infrastructure issues
Third-party service failures
Force majeure events

10. Limitation of Liability

O’Daniels Industries Limited is not liable for:

Loss of goods
Delivery delays
Transport accidents
Customer disputes
Revenue losses from logistics operations

Our liability is limited strictly to the provision of software services.

11. Suspension & Termination

We may suspend or terminate access if:

Fees are unpaid
Terms are violated
Fraudulent activity is detected
Required legal compliance is not met

Clients may stop using the Platform at any time, but outstanding fees remain payable.

12. Intellectual Property

All software, design, branding, and system logic belong to O’Daniels Industries Limited.

Clients receive a license to use the Platform, not ownership.

13. Confidentiality

Both parties agree to protect confidential business, technical, and operational information shared during use of the Platform.

14. Compliance with Laws

Clients must ensure their logistics operations comply with:

Transport regulations
Data protection laws
Tax and commercial laws

The Company is not responsible for Client regulatory violations.

15. Modifications

We may update these Terms. Continued use of the Platform means acceptance of updated Terms.

16. Governing Law

These Terms shall be governed by the laws of Nigeria, without regard to conflict of law principles.
